Terms of Service

Please read these terms carefully before using our services.

1. Acceptance of Terms

By accessing or using toexee services (the "Service"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service. We may update these terms at any time. Continued use after changes means you accept the new terms.

2. Description of Service

toexee provides subscription-based graphic design services. You submit design requests, and we deliver completed designs according to your chosen plan. All plans include unlimited design requests, unlimited revisions, and full ownership of delivered work. Specific turnaround times and active request limits vary by plan and are clearly stated on our pricing page.

3. Subscription and Payments

Subscriptions are billed monthly, quarterly, or yearly depending on the billing cycle you select. A one-time setup fee of UGX 150,000 applies to all new subscriptions. Payments are processed via MTN Mobile Money, Airtel Money, or bank transfer. You are responsible for providing accurate payment information. Failed payments may result in service suspension. All prices are in Ugandan Shillings (UGX) unless otherwise stated.

4. Cancellation and Refunds

You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period. You will continue to have access to the Service until that date. Refunds are not provided for partial months. If you cancel within 48 hours of your first payment and have not submitted any design requests, you are eligible for a full refund. To cancel, contact us via WhatsApp or email.

5. Intellectual Property

Upon full payment for the relevant billing period, you own all design files and final deliverables created for you during that period. This includes source files (AI, PSD, Figma) and all export formats. You receive full commercial usage rights. We retain the right to display completed work in our portfolio unless you request otherwise in writing. We do not claim ownership of any materials, brand assets, or content you provide to us.

6. Client Responsibilities

You agree to provide clear design briefs, necessary brand assets, and timely feedback. Delays in providing feedback or assets may affect turnaround times. You warrant that any materials you provide do not infringe on third-party intellectual property rights. toexee is not responsible for designs that violate third-party rights based on materials or instructions you provide.

7. Limitation of Liability

toexee provides design services on an "as is" basis. We do not guarantee that designs will achieve specific business outcomes, such as increased sales or engagement. Our liability for any claim arising from your use of the Service is limited to the amount you paid us in the three months preceding the claim. We are not liable for indirect, incidental, or consequential damages.

8. Governing Law

These Terms are governed by the laws of the Republic of Uganda. Any disputes arising from these Terms or your use of the Service shall be resolved in the courts of Kampala, Uganda. If any provision of these Terms is found to be unenforceable, the remaining provisions remain in full effect.
